Terms of service

BaseAcross (“we”, “us”) is a document filing and business services company. We prepare formation documents and submit them to state agencies, act as or arrange a registered agent, apply for an Employer Identification Number on your behalf, and provide the tools on this site for keeping a company in good standing.

We aren't a law firm, an accountancy practice or a tax adviser, and we don't give legal, tax or financial advice. What we publish about company types, states, taxes and deadlines is general information about how these systems work. It isn't advice about your circumstances, and reading it doesn't create a lawyer–client or accountant–client relationship. When a decision depends on your situation, we'll say so and suggest you get advice from someone licensed to give it.

You must be at least 18 and able to enter a binding contract to use this service. You're responsible for what happens under your account, for keeping its email address up to date, and for telling us if you think someone else has used it. You sign in with a code sent to your email, or with Google where that's offered, so anyone who can get into that inbox or Google account can get into yours. Keep them secure.

We file what you give us. The company name, the members and their ownership, the addresses and the facts on the EIN application all come from you. Before you pay, you confirm that they're accurate and that you're entitled to provide them. If a filing is based on wrong information, the state can reject it, and correcting a record that's already been filed costs a state fee we can't waive.

You also confirm that the company won't be used for anything unlawful, that you're not on a sanctions list that would stop us from acting for you, and that you'll give us any identity documents a bank, a mail carrier or a government agency requires when we ask for them.

Our fees are shown before you pay, and one-time fees are charged when you confirm your order. State filing fees are passed through at exactly what the state charges and shown on their own line. They're paid to the state, not to us, and once a filing has been submitted, the state doesn't give them back.

Some things renew. The registered agent renews after the first year, and so does any monthly or yearly extra you add. We tell you before anything renews, and you can cancel a renewal before its date from your billing page or by emailing us. Renewal prices can change, and if they do, you'll hear about it before you're charged.

Refunds are covered by our refund policy, which is part of these terms.

The state and the IRS set the pace, not us. Our estimates are based on how long those agencies are currently taking, and we chase them for you. A state backlog or an IRS delay is outside our control, though, and isn't a failure of the service. We'll keep you informed, and we won't charge you again for a step an agency has delayed.

If your plan includes it, we act as, or arrange, the registered agent for your company. That's a physical address in the state where legal papers and official notices can be served during business hours. We'll promptly forward anything we receive in that role, so you need to keep a working email address with us. If the agent service lapses because a renewal isn't paid, the state can treat your company as no longer in good standing, and we'll tell you before that happens.

Where we offer a US business mailing address, it's provided through a commercial mail receiving agency registered with the United States Postal Service. Federal rules require a completed USPS Form 1583 and identification for anyone whose mail is received at that kind of address, and the address can't be used until that's in place. We open and scan mail addressed to your company. We don't open mail addressed to a named person, and we forward or return it instead.

We don't ask for a passport. We collect an identity document only when a bank, carrier or agency requires one, and then only what that party asks for. We store it encrypted in private storage and share it only with the party that requires it. Anything we hold is deleted automatically 30 days after your company is filed. The privacy notice explains how we handle them.

The company we form belongs to you and its members, not to us. You can download every document we prepare or receive for it from your account. If you stop using us, you can appoint another registered agent, or act as your own where the state allows it, and we'll hand over what we hold. We may stop providing our services to you if these terms are broken, if a payment fails and isn't sorted out, or if the law requires it. Unless we can't, we'll give you reasonable notice first.

We'll carry out the services with reasonable care and skill. If we make a mistake in a filing, we'll correct it at our cost. Beyond that, and as far as the law allows, we aren't liable for indirect or consequential losses, for lost profits, or for the consequences of information you gave us being wrong. Our total liability to you for any claim is limited to the fees you paid us in the twelve months before the claim arose. Nothing in these terms limits any liability that the law doesn't allow to be limited.

We may update these terms. If a change matters to you, we'll email you before it takes effect, and if you keep using the service after that, you accept it. These terms are governed by the laws of the State of Wyoming, United States, and any dispute will be heard in its courts. Before either of us goes that far, we'll try to sort it out by talking, starting with [email protected].
